Terms and conditions
1. Who we are
These terms are an agreement between you and Simplemente US DBA FCPWORKS ("FCPWORKS", "we", "us"), the developer of Resonance. They cover the Resonance app for Mac, your Resonance account, the website at tryresonance.com, and everything you buy from us (together, the "Service"). By creating an account, installing Resonance, or making a purchase, you agree to these terms.
2. Payments and our merchant of record
Payments for Resonance are processed by Stripe through Stripe Managed Payments. Link (link.com), Stripe’s merchant of record, is the seller of record for your purchase: it charges you, collects any applicable sales tax or VAT, and issues your receipts and any refunds. Your receipt and card statement will show Link (for example, “LINK.COM*”). When you buy a subscription or credit pack, you also agree to the purchase terms shown at checkout.
3. Your account
- You must be at least 18 years old, or the age of majority where you live, to subscribe or make a purchase.
- Give accurate information and keep your email address current, because we use it for receipts, account notices, and password resets.
- Your account is for one person. Keep your password private, and tell us through our contact form if you think someone else has used it.
4. Accounts and subscriptions
Your Resonance account is created when you subscribe. Generating stills and video requires an active Resonance subscription. If your subscription ends, you can still sign in and open your projects, but generation stays off until you subscribe again.
5. Resonance subscription
- A Resonance subscription costs $49 USD per month, plus any applicable tax, billed in advance through Stripe.
- Your subscription renews automatically each month, on the same day you first subscribed, until you cancel.
- Each billing period includes 1,500 generation credits. Unused monthly credits expire at the end of the period and don't roll over.
- If we change the price, we'll email you at least 30 days before the new price applies to your next renewal. You can cancel before then.
6. Credits and credit packs
- Credits are how generation is measured in Resonance. The app shows what each generation will cost before you run it. As a guide, an image currently costs about 15 credits and video about 10 credits per second at 480p or 15 credits per second at 720p. Costs can change when the underlying AI models or their prices change.
- Credit packs (currently 2,500 credits for $25 and 5,000 credits for $50) are available to active subscribers.
- Purchased credits never expire. You can spend them while you have an active subscription. If your subscription ends, your purchased credits stay in your account for when you subscribe again.
- Monthly credits are always spent before purchased credits.
- Credits have no cash value, can't be transferred or sold, and can only be refunded as described in our refund policy.
- If you think credits were taken for a generation that failed, contact us and we'll look into it.
7. Cancelling and failed payments
- You can cancel your subscription anytime from Help › Manage Account in Resonance, which opens your billing portal. Cancelling stops the next renewal.
- After you cancel, your subscription stays active until the end of the period you've paid for, so you can keep using your remaining monthly and purchased credits until then.
- If a renewal payment fails, generation stops right away until payment goes through or you subscribe again. Your projects and purchased credits aren't affected.
8. Refunds
Refunds are covered by our refund policy, which is part of these terms.
9. Your license to use Resonance
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use Resonance on Macs you own or control, for your own projects and your clients' projects, while you follow these terms. You may not:
- copy, resell, rent, or redistribute Resonance, or share your account with others;
- reverse engineer, decompile, or modify the app, except where the law expressly allows it;
- get around credit metering, usage limits, or security features, or use the Service to access AI models in ways Resonance doesn't offer;
- use the Service to build a competing product.
10. Your content
You keep all rights to the scripts, images, projects, and other material you bring into Resonance, and to the stills and video you generate, to the extent the law allows. Your projects are stored as files on your Mac. You give us permission to process your content only as needed to run the Service, for example sending a prompt and reference images to an AI model when you ask for a generation. You're responsible for making sure you have the rights to the material you upload.
11. AI generation and other services
- Generation uses AI models run by third-party providers. Outputs can be inaccurate, unexpected, or similar to content others generate, and we can't guarantee that any output is unique or free of third-party rights.
- The Claude production assistant works through your own Claude account, which Anthropic's terms govern. Any other third-party service you connect to Resonance is governed by that service's terms.
- We're not responsible for third-party services, but we'll work to replace a model or provider if one becomes unavailable.
12. Acceptable use
Don't use Resonance to create or share content that is illegal, sexualizes minors, depicts real people in sexual or deceptive ways without their consent, infringes someone else's rights, harasses or threatens anyone, or breaks the usage policies of the AI models you generate with. We may suspend or close accounts that do, and we may report illegal content to the authorities.
13. Updates and changes to the Service
We update Resonance regularly. Updates are included while you're subscribed. We may add, change, or remove features and models over time. If a change materially reduces what the subscription includes, we'll tell you in advance, and you can cancel.
14. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't promise that the Service will be uninterrupted or error-free. Keep your own backups of your projects.
15. Limitation of liability
To the fullest extent the law allows, FCPWORKS isn't liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim about the Service is limited to the amount you paid us in the 12 months before the claim arose. Some places don't allow these limits, so they may not all apply to you.
16. Indemnity
If someone makes a claim against us because of content you created or uploaded with Resonance, or because you broke these terms, you agree to cover our reasonable costs of dealing with that claim, to the extent the law allows.
17. Ending these terms
You can stop using the Service and delete your account at any time by contacting us. We may suspend or close your account if you seriously or repeatedly break these terms. If we close your account without cause, we'll refund the unused part of your current subscription period and any unused purchased credits.
18. Governing law
These terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in New Mexico, unless the consumer laws where you live give you the right to bring a claim in your local courts.
19. Changes to these terms
We may update these terms. The date at the top shows the latest version. For material changes we'll email you or show a notice in Resonance before they take effect. If you keep using the Service after that, the new terms apply.
